I. CALL TO ORDER
Chairman Cedric King called the meeting to order at 10:00am.
II. INVOCATION WELCOME GUESTS
Mel Baxter gave invocation and Chairman Cedric King welcomed guests.
III. PLEDGE OF ALLEGIANCE
IV. PUBLIC COMMENT – Chairman Cedric King invited public comments from the guests.
V. ACCEPT AGENDA
AMMEND AGENDA – A MOTION was made by Wayne Johnson, seconded by Jack Kilgore and passed unanimously to amend the agenda to add Closed Session – Discussion of Real Estate Items Section §20-14-3(b)(1)(B). The MOTION carried unanimously: 4-0
VI. AUDIT PRESENTATION – Ben Lee with Coastal CPA
A MOTION was made by Wayne Johnson, seconded by Jack Kilgore and passed unanimously to approve the 2016 Financial Statements and Auditor’s Report as presented. The MOTION carried unanimously: 4-0.

VII. GCAC – Rob Burr
A. Annual Audit Acceptance Distribution to Glynn County
A MOTION was made by Wayne Johnson, seconded by Paulo Albuquerque and passed unanimously to approve the annual audit as presented. The MOTION carried unanimously: 4-0.

B. Rich Products – McKinnon St. Simons Island Airport
A MOTION was made by Paulo Albuquerque, seconded by Wayne Johnson to approve Rich Products sublease amendment to the amended terms to provide an additional 4th (5) year option with annual adjustment using CPI-U to begin July 2039 as presented. The MOTION carried unanimously: 4-0.
C. Glynco Manning Aviation, Inc. FBO Sublease – Brunswick Golden Isles Airport
A MOTION was made by Jack Kilgore, seconded by Wayne Johnson and passed unanimously to approve the Glynco Manning Aviation, Inc. FBO Sublease with the terms as presented upon legal review. The MOTION carried unanimously: 4-0.

D. Eagle Solar Group Request Lease Option for Solar Farm at the Brunswick Golden
Isles Airport
A MOTION was made by Paulo Albuquerque, seconded by Wayne Johnson and passed unanimously to approve Option to Lease to Eagle Solar Group for a Solar Farm with terms as presented. The MOTION carried unanimously: 4-0.

VIII. APPROVAL OF MINUTES
A. December 5, 2016 Minutes
A MOTION was made by Jack Kilgore and seconded by Paulo Albuquerque to approve the December 5, 2016 Meeting Minutes with changes made as specified by Chairman Cedric King. The MOTION carried unanimously: 4-0.

IX. FINANCIALS
A. Approve Financials – November and December 2016
Joan Hearn reviewed the November and December 2016 financial statements. The Authority’s financial situation remains strong. The Share the Future fund balance to just over $578,000 at the end of December.
A MOTION was made by Paulo Albuquerque, seconded by Wayne Johnson and passed to approve the November and December financials as presented. The MOTION carried unanimously: 4-0.
X. PRESIDENT’S REPORT
A. New Business Recruitment – Mel Baxter
• Mel Baxter welcomed Travis Stegall with the Economic Community Development Director for the City of Brunswick
• Mel Baxter gave handout of the snapshot for 2017
• Jack Kilgore discussed the community support of the Shared Vision Statement
• Met with JWSC and Driggers Development on North Glynn County. More to come.
• Met with Casey Lavin of Sea Island on various projects. More to come.
• Attended the Eggs and Issues on January 9th
• Reported on the presentation at GCAC on January 17th
• Attended the Economic Outlook on January 19th

B. Business, Retention and Expansion (BRE) Update and Communications Update – John Scott
• John Scott is working on organizing industry leader visits for 2017.
• Workforce presentation is underway. Will keep the board apprised of the progress.
• John Scott continues to work with GICCA on their needs assessment. More to come.
• John Scott is currently working on the Manufacturer Appreciation Week (MAW) and the names for submission. John will keep the board apprised of the progress.

C. Strategic Planning
Mel Baxter reported that the Ady Advantage group will be arriving January 30th and January 31st for a site visit and to interview various community leaders and stake holder. More to come.

XI. CHAIRMAN ITEMS
A. Update from Rod Sawall with GICA
Rod Sawall reported that Golden Isles Career Academy has officially changed their name to Golden Isles College and Career Academy (GICCA).
Total enrollment for GICCA to date is 535 and the Soft Skill class has 100 to 125.

B. Update from Pete Snell with Coastal Pine
No items to discuss.

XIII. EXECUTIVE SESSION

A MOTION was made by Jack Kilgore, seconded by Wayne Johnson and passed to enter Closed Session to discuss Pending or Potential Litigation OCGA Section 50-14-2 and Real Estate Items Section §20-14-3(b)(1)(B). The MOTION carried unanimously: 4-0.
A MOTION to return to Open Session was made by Jack Kilgore, seconded by Wayne Johnson. The MOTION carried unanimously: 4-0.

A MOTION was made by Paulo Albuquerque, seconded by Wayne Johnson to approve and ratify the following Supplemental Lease Agreements which were presented:

1. U.S. Department of the Homeland Security Federal Law Enforcement Training Centers Supplemental Lease Agreement No. 13, to Lease No. TFTC 02-01, dated December 22, 2016, for the premises at 424 Vogel Road, Brunswick, Glynn County, Georgia, between the Brunswick and Glynn County Development Authority, as Lessor, and the United States of America, as Government.

2. U.S. Department of the Homeland Security Federal Law Enforcement Training Centers Supplemental Lease Agreement No. 15, to Lease No. TFTC 01-25, dated December 22, 2016, for the premises at 424 Vogel Road, Brunswick, Glynn County, Georgia, between the Brunswick and Glynn County Development Authority, as Lessor, and the United States of America, as Government.

3. U.S. Department of the Homeland Security Federal Law Enforcement Training Centers Supplemental Lease Agreement No. 12, to Lease No. TFTC 02-13, dated December 22, 2016, for the premises at 424 Vogel Road, Brunswick, Glynn County, Georgia, between the Brunswick and Glynn County Development Authority, as Lessor, and the United States of America, as Government.

The MOTION carried unanimously: 4-0.

A MOTION was made by Jack King, seconded by Wayne Johnson to authorize Mel Baxter to settle litigation with FLETC so long as there are no costs to the Development Authority. The MOTION carried unanimously: 4-0.

A MOTION to adjourn was made by Paulo Albuquerque, seconded by Wayne Johnson. The MOTION carried unanimously: 4-0. The meeting adjourned at 12:30pm.
